End User License Agreement (EULA)

1. License Grant

Subject to your compliance with this Agreement, Tixo grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Tixo Accounting software ("the Software") for your internal business purposes in accordance with your subscription plan.

2. Restrictions

You agree not to:

  • Copy, modify, or create derivative works of the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Remove, alter, or obscure any proprietary notices on the Software
  • Rent, lease, lend, sell, sublicense, or transfer the Software
  • Use the Software for any illegal or unauthorized purpose
  • Access the Software to build a competitive product or service
  • Share your account credentials with unauthorized users
  • Exceed the usage limits of your subscription plan

3. Ownership

The Software is licensed, not sold. Tixo and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. You retain ownership of your data, subject to our license to process it as described in the Privacy Policy.

4. Subscription and Payment

4.1 Billing

Subscription fees are billed in advance on a monthly or annual basis through our payment processor, Paddle. All fees are in EUR or USD and exclude applicable taxes unless stated otherwise.

4.2 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel anytime through your account settings.

4.3 Refunds

Refunds are handled according to our Refund Policy. You may request a full refund within 14 days of your initial purchase. After 14 days, fees are non-refundable except as required by law.

5. User Responsibilities

5.1 Account Security

You are responsible for maintaining the security of your account credentials. Notify us immediately of any unauthorized access or security breach.

5.2 Data Accuracy

You are responsible for the accuracy, completeness, and legality of the data you input into the Software. The Software provides tools but does not guarantee tax or regulatory compliance.

5.3 Compliance

You must use the Software in compliance with all applicable laws and regulations, including Serbian tax laws and GDPR data protection requirements.

6. Updates and Modifications

We may update the Software from time to time to add features, fix bugs, or improve performance. Updates are provided automatically and are covered by this Agreement. We reserve the right to discontinue features with reasonable notice.

7. Service Level and Support

7.1 Availability

We aim for 99.9% uptime but do not guarantee uninterrupted access. The Software may be unavailable during maintenance, updates, or due to circumstances beyond our control.

7.2 Support

Support is provided via email (contact@tixo.digital) during business hours (Monday-Friday, 9 AM - 5 PM CET). Response times vary by subscription plan.

8. Data Backup and Export

We perform regular backups of your data, but you are responsible for maintaining your own backup copies. You may export your data at any time through the Software interface or by contacting support.

9. Termination

9.1 By You

You may cancel your subscription at any time. Access will continue until the end of your current billing period. You may request a data export within 30 days of cancellation.

9.2 By Us

We may suspend or terminate your account immediately if you breach this Agreement, fail to pay fees, or engage in fraudulent or illegal activity. We will provide notice when possible.

9.3 Effect of Termination

Upon termination, your license ends immediately. We will delete your data within 30 days unless retention is required by law (e.g., Serbian tax law requires 7-year retention of financial records).

10. Warranties and Disclaimers

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Accuracy, reliability, or completeness of data or calculations
  • Uninterrupted or error-free operation
  • Tax or regulatory compliance (you are responsible for compliance)

Important: The Software is a tool to assist with accounting and tax preparation. It does not constitute tax, legal, or financial advice. Consult a qualified professional for compliance matters.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIXO SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Tax penalties, fines, or audit costs
  • Damages resulting from data loss, system failures, or unauthorized access

Our total liability for any claim under this Agreement is limited to the amount you paid for the Software in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold Tixo harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Software, violation of this Agreement, or infringement of any third-party rights.

13. Privacy and Data Protection

Your use of the Software is subject to our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Software, you consent to such collection and use in accordance with the Privacy Policy.

14. Third-Party Services

The Software may integrate with third-party services (e.g., Google Docs, bank APIs). Your use of such services is subject to their own terms and policies. We are not responsible for third-party services or their availability.

15. Governing Law and Disputes

15.1 Governing Law

This Agreement is governed by the laws of Serbia, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes shall be resolved in the courts of Belgrade, Serbia. You agree to submit to the exclusive jurisdiction of these courts.

16. Changes to Agreement

We may modify this Agreement from time to time. We will notify you of significant changes via email or through the Software. Continued use after changes constitutes acceptance of the updated Agreement. If you do not agree, you must stop using the Software and cancel your subscription.

17. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

This Agreement, together with the Terms of Service, Privacy Policy, and Refund Policy, constitutes the entire agreement between you and Tixo regarding the Software and supersedes all prior agreements.
